Welcome to AddToQuote. These Terms of Service ("Terms") govern your use of the AddToQuote Shopify application and related services provided by AddToQuote Inc. ("we," "us," or "our").

1. Acceptance of Terms

By installing, accessing, or using AddToQuote, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not install or use our application.

If you are using AddToQuote on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Service

AddToQuote is a Shopify application that provides B2B quote management functionality, including:

  • "Request for Quote" button functionality for your online store
  • Quote management dashboard with CRM pipeline
  • PDF quote generation and customization
  • Price hiding capabilities for selected products or collections
  • Email notifications for quotes, approvals, and communications
  • Analytics and reporting on quote performance
  • Draft order creation for approved quotes

3. Eligibility

To use AddToQuote, you must:

  • Have a valid Shopify store on a qualifying Shopify plan
  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using our services under applicable laws

4. Account and Access

By installing AddToQuote, you authorize us to access your Shopify store data as described in our Privacy Policy. You are responsible for:

  • Maintaining the security of your Shopify account credentials
  • All activities that occur under your account
  • Ensuring your team members use the app appropriately
  • Promptly notifying us of any unauthorized access

5. Subscription and Billing

5.1 Pricing

  • Free Trial: 14-day free trial for new installations
  • Monthly Subscription: $20/month billed through Shopify
  • No Transaction Fees: We do not charge fees on quotes generated

5.2 Payment

All payments are processed through Shopify's billing system. By subscribing, you authorize Shopify to charge your payment method on file for the applicable subscription fees.

5.3 Cancellation and Refunds

  • You may cancel your subscription at any time by uninstalling the app from your Shopify admin
  • Cancellation takes effect at the end of your current billing period
  • Refunds are handled according to Shopify's app billing policies
  • We may offer prorated refunds at our discretion for annual plans

5.4 Price Changes

We may change our pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

6. Acceptable Use

You agree to use AddToQuote only for lawful purposes. You shall not:

  • Use the service to violate any applicable laws or regulations
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the integrity or performance of the service
  • Transmit malicious code, viruses, or harmful content
  • Use the service to send spam or unsolicited communications
  • Reverse engineer, decompile, or disassemble any part of the service
  • Resell, sublicense, or redistribute the service without authorization
  • Use the service in a manner that could harm minors

7. Intellectual Property

7.1 Our Rights

AddToQuote, including its design, features, code, and documentation, is owned by AddToQuote Inc. and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the service during your subscription.

7.2 Your Content

You retain ownership of your data, including store information, product data, and customer information. You grant us a license to use this data solely to provide and improve our services.

7.3 Feedback

If you provide suggestions, feedback, or ideas about our service, you grant us the right to use this feedback without obligation to you.

8. Data and Privacy

Your use of AddToQuote is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using our service, you consent to our data practices as described in the Privacy Policy.

9. Third-Party Services

AddToQuote integrates with Shopify and may integrate with other third-party services. Your use of these services is subject to their respective terms and conditions. We are not responsible for third-party services.

10. Service Availability

10.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable notice when possible.

10.2 Modifications

We may modify, update, or discontinue features of the service at any time. We will provide reasonable notice for significant changes that affect your use.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The service will be error-free or uninterrupted
  • Defects will be corrected
  • The service will meet your specific requirements
  • The service will be compatible with all systems or devices

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADDTOQUOTE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or goodwill
  • Service interruption or system failure
  • Damages resulting from unauthorized access to your data

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless AddToQuote Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your content or data

14. Termination

14.1 By You

You may terminate your use of AddToQuote at any time by uninstalling the application from your Shopify store.

14.2 By Us

We may suspend or terminate your access to the service:

  • For violation of these Terms
  • For non-payment of subscription fees
  • If required by law or legal process
  • If your use poses a security risk
  • At our discretion with reasonable notice

14.3 Effect of Termination

Upon termination, your right to use the service ceases immediately. We will delete your data in accordance with our Privacy Policy and Shopify's requirements.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@addtoquote.com to attempt to resolve any dispute informally within 30 days.

15.2 Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration under the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware, USA.

15.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions.

16. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

17. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via email or through the Shopify app at least 30 days before they take effect. Your continued use after changes become effective constitutes acceptance of the revised Terms.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AddToQuote Inc. regarding the service.

18.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

19. Shopify Platform

AddToQuote operates within the Shopify ecosystem and complies with Shopify's API Terms of Use and Partner Program Agreement.
